changing projection

hi,
i want to change the spatial referencesystem from (+proj=longlat
+ellps=WGS84 +datum=WGS84 +no_defs ) = GeographicCoordinateSystem
to
+proj=tmerc +lat_0=0 +lon_0=12 +k=1.000000 +x_0=4500000 +y_0=0 +ellps=bessel
+datum=potsdam +units=m +no_defs ) = ProjectedCoordinateSystem
but after doing this in the properties, nothing happens.
Why???

I know this from ArcView. If you did this than the geometry of the shape
changed.

Because you didn't actually reproject the file. You just told QGIS that the
X,Y values correspond to a different projection system. If your file is a
raster you can do that in the command line using gdalwarp or, if it is a
vector, you can do it with ogr2ogr.
